Terms of Service

These Terms and Conditions, together with any policies, guidelines, notices, disclosures, product-specific terms, subscription terms, safety guidelines, community standards, and privacy notices that reference or link to them, form a legally binding agreement between you and [RoomRight legal entity name] (“RoomRight,” “we,” “us,” or “our”) and govern your access to and use of the RoomRight website, mobile application, platform, products, tools, features, communications, content, waitlists, beta products, compatibility tools, messaging features, matching features, and related services, whether accessed through roomright.io, an app store, a mobile device, a web browser, an API, a beta testing platform, or any other authorized channel (collectively, the “Service”).

Please read these Terms carefully. They affect your legal rights, including important limitations of liability, disclaimers, indemnity obligations, and dispute-resolution provisions. By creating an account, joining a waitlist, accessing or using the Service, submitting information to RoomRight, communicating with another user through the Service, purchasing a subscription or paid feature, or otherwise indicating acceptance, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

Important legal note: This document is a strong business-side first draft. It should be reviewed by a licensed attorney before launch, especially for housing law, fair housing compliance, arbitration enforceability, subscription law, privacy law, app-store compliance, and any state-specific requirements.

1. What RoomRight Is, and What RoomRight Is Not

RoomRight is a compatibility-oriented roommate discovery and communication platform. The Service is designed to help users create profiles, describe living preferences, answer compatibility-oriented questions, browse other users, communicate with potential roommates, and use RoomRight’s compatibility signals to support their own judgment.

RoomRight is not a landlord, property owner, property manager, real estate broker, rental broker, leasing agent, housing provider, tenant screening company, credit reporting agency, background-check company, guarantor, insurer, escrow agent, payment processor, safety verifier, legal advisor, relocation advisor, or party to any roommate, lease, sublease, license, occupancy, rental, or housing agreement between users or third parties.

RoomRight does not own, control, inspect, endorse, guarantee, lease, rent, manage, offer, verify, or provide any housing, apartment, room, roommate, landlord, user, listing, profile, message, agreement, payment arrangement, or offline interaction unless expressly stated in a separate written agreement signed by RoomRight.

Any relationship, housing arrangement, lease, sublease, license, payment, deposit, roommate agreement, move-in arrangement, viewing, tour, meeting, or other interaction formed between users or third parties is solely between those parties. You are solely responsible for conducting your own diligence, complying with applicable laws, protecting your safety, reviewing all documents, verifying information, and deciding whether to proceed with any person, property, listing, or housing arrangement.

2. Eligibility

You may use the Service only if you:

  • are at least 18 years old;
  • are legally able to enter into a binding contract;
  • are not barred from using the Service under applicable law;
  • have not previously been suspended, banned, or removed from the Service unless RoomRight has expressly authorized you to return in writing;
  • will use the Service only for lawful roommate-search, room-search, housing-search, compatibility, or related personal purposes; and
  • will comply with these Terms and all applicable federal, state, local, and international laws.

RoomRight does not knowingly allow minors to create accounts. If we believe a user is under 18, we may suspend or terminate the account and delete associated content, subject to applicable law.

3. Account Registration and Security

To use certain features, you may need to create an account, join a waitlist, sign in through a third-party account, or provide information such as your name, email address, phone number, date of birth, school, work information, profile details, living preferences, neighborhood preferences, move-in timeline, budget, lifestyle responses, and other information.

You agree that all information you provide to RoomRight will be accurate, current, complete, and not misleading. You agree to promptly update your information if it changes. You may not create an account using false information, impersonate another person, use another person’s account, create multiple accounts to avoid enforcement, create accounts for scraping or competitive research, or create an account on behalf of another person without authorization.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify RoomRight immediately if you suspect unauthorized access, misuse, or a security breach. RoomRight is not liable for losses arising from your failure to protect your account credentials or device.

4. Beta, Waitlist, and Pre-Launch Features

RoomRight may offer waitlist access, beta access, pilot programs, TestFlight access, early-release features, experimental compatibility tools, prototype designs, surveys, interviews, or limited-access testing programs. These features may be incomplete, unstable, unavailable, modified, withdrawn, reset, or terminated at any time.

Beta or pre-launch features are provided for testing and feedback only. We do not guarantee that any beta feature will become publicly available or that any data, profile, match, message, compatibility output, or setting created during a beta period will be preserved.

You agree not to disclose, copy, reverse engineer, publicly review, publish screenshots of, or commercially exploit non-public beta features, designs, prompts, scoring logic, questionnaires, workflows, product screens, or internal materials without RoomRight’s written permission.

5. Compatibility Signals, Matching Logic, and AI-Assisted Features

RoomRight may use questionnaires, profile information, user responses, stated preferences, behavioral prompts, forced-choice questions, scenario-based questions, compatibility axes, ranking systems, algorithms, machine learning, AI-assisted analysis, or other technical methods to generate compatibility signals, profile ordering, suggested matches, risk flags, summaries, explanations, or recommendations (collectively, “Compatibility Features”).

Compatibility Features are for informational and personal decision-support purposes only. They are not professional advice, psychological assessment, legal advice, financial advice, housing advice, safety advice, tenant screening, creditworthiness assessment, background verification, identity verification, guarantee of roommate success, guarantee of lawful housing eligibility, or guarantee that another user is safe, honest, compatible, financially reliable, clean, respectful, communicative, or suitable.

You acknowledge and agree that:

  • compatibility is inherently subjective, contextual, and uncertain;
  • users may provide incomplete, inaccurate, exaggerated, outdated, or misleading information;
  • AI-assisted outputs may be incomplete, inaccurate, biased, or misinterpreted;
  • RoomRight does not guarantee the accuracy, reliability, fairness, or completeness of compatibility outputs;
  • RoomRight does not guarantee that highly ranked users will be good roommates or that lower-ranked users will be unsuitable;
  • RoomRight does not guarantee that use of the Service will prevent roommate conflict, financial loss, discrimination, harassment, fraud, personal injury, property damage, emotional distress, lease disputes, eviction, or other harm; and
  • you remain solely responsible for your own decisions, communications, meetings, agreements, payments, leases, subleases, roommate arrangements, and safety precautions.

One Compatibility Feature, the “Roommate Snapshot,” is a short AI-generated summary of how you and another user would live together. It is generated from both users' questionnaire answers and from RoomRight's own compatibility scoring, is stored once for that pair, and is shown to both of you. Sensitive categories are removed from what is sent to the AI provider, as described in the Privacy Policy. Like every other Compatibility Feature it is decision support and nothing more, and it may be wrong about either of you.

You may not use Compatibility Features as the sole basis for making legally significant decisions about housing, tenancy, rental eligibility, credit, employment, insurance, education, or access to services. You may not represent RoomRight’s compatibility scores, rankings, summaries, or outputs as official verification, tenant screening, background checks, credit checks, identity verification, legal conclusions, or statements by RoomRight about another user’s character, reliability, or lawful housing eligibility.

6. Fair Housing, Anti-Discrimination, and Lawful Use

RoomRight is committed to lawful, fair, and non-discriminatory access to roommate discovery and housing-related communications. You agree to comply with all applicable fair housing, civil rights, consumer protection, anti-discrimination, advertising, privacy, and housing laws.

You may not use the Service to discriminate against, exclude, harass, threaten, screen, rank, reject, discourage, steer, or otherwise treat any person unlawfully on the basis of protected characteristics, including race, color, religion, national origin, sex, sexual orientation, gender identity or expression, disability, familial status, marital status, source of income, lawful occupation, citizenship or immigration status where protected, age where protected, military or veteran status, pregnancy, genetic information, or any other characteristic protected by applicable federal, state, or local law.

You may not post or send content that expresses unlawful housing preferences, discriminatory exclusions, coded discrimination, harassment, hate speech, threats, or statements such as “no [protected group],” “only [protected group],” or equivalent language, where prohibited by law.

RoomRight may remove content, restrict visibility, suspend accounts, terminate accounts, block messages, disable listings, limit functionality, report conduct, or take other action if we believe, in our sole discretion, that content or conduct may violate these Terms, applicable law, fair housing principles, safety standards, platform integrity, or the rights of others.

RoomRight may provide neutral tools that allow users to describe living habits, logistics, communication preferences, cleanliness expectations, sleep schedules, guest expectations, budget ranges, neighborhood preferences, pet-related logistics, smoking-related logistics, lease timelines, and other practical roommate considerations. You may not use neutral tools for unlawful discrimination or to evade fair housing obligations.

6.1 Shared living space and roommate selection

RoomRight is a service for finding a person with whom you will share a home. It is not a housing advertising platform, a listing service offered to the general public, a tenant placement service, or a brokerage. This distinction is central to how the rest of this Section applies to you, and you agree that you are using the Service for shared-living roommate search and for no other purpose.

United States federal fair housing law, and the law of many states and localities, treats the selection of a person with whom one will share living space differently from the sale, rental, or advertising of housing to the public. In Fair Housing Council of San Fernando Valley v. Roommates.com, LLC, 666 F.3d 1216 (9th Cir. 2012), the United States Court of Appeals for the Ninth Circuit held that the Fair Housing Act's prohibitions do not apply to the selection of roommates who will share living quarters. RoomRight is designed for that situation. RoomRight makes no representation that this holding is binding in your jurisdiction, that other courts would reach the same conclusion, or that it displaces any state, municipal, or other law applicable to you.

On that basis, and solely on that basis, the Service offers a gender preference setting that asks who you would be comfortable sharing a home with. You should understand exactly how it operates before you set it: it is a strict filter applied in both directions. If you narrow it, people outside your stated preference are removed from your Discover feed, and you are removed from theirs, whether or not they stated any preference of their own. Setting it is not by itself a breach of these Terms.

The allowance in this Section 6.1 is narrow, is limited to gender in the context of shared living space, and does not extend by analogy to anything else. Without limiting Section 6, you may not use the Service, the gender preference setting, any other preference, any profile field, any message, or any compatibility tool to exclude, screen, rank, discourage, steer, refuse, or otherwise disadvantage any person on the basis of race, colour, religion, national origin, disability, familial status, sexual orientation, gender identity or expression as distinct from the shared-living preference described above, marital status, source of income, citizenship or immigration status, age, military or veteran status, pregnancy, genetic information, or any other characteristic protected by applicable law.

You represent, warrant, and agree on an ongoing basis that: (a) you are seeking a person to share living space with you, and are not advertising, listing, letting, subletting, or placing housing on behalf of yourself or another as a landlord, owner, property manager, broker, agent, or in any comparable capacity; (b) you will not use the Service to make or assist any decision regarding tenancy, credit, employment, insurance, education, or any other legally regulated opportunity; (c) you have determined that your use of the Service, including any preference you set, is lawful in the jurisdiction where you live and where the housing is located; and (d) you will cease using the relevant feature immediately if that ceases to be true. If you are letting a room rather than seeking someone to live with, this Section 6.1 does not apply to you, obligations that these Terms do not describe apply to you instead, and you may not use the Service for that purpose.

Where any applicable state, municipal, or other law is more protective than the position described above, that law controls and this Section 6.1 does not authorise conduct it prohibits. RoomRight may, at its sole discretion and without notice, restrict, disable, alter, or withdraw the gender preference setting or any other feature, in any jurisdiction or for any user, including where we believe it is necessary to comply with law. Nothing in this Section is legal advice, and you may not rely on it as such; RoomRight does not advise you on your obligations and you are solely responsible for determining them.

If any part of this Section 6.1 is held invalid or unenforceable, it shall be severed and the remainder of Section 6, including every prohibition in it, shall remain in full force. The invalidity of the allowance shall not be construed to permit any conduct Section 6 otherwise prohibits.

RoomRight does not authorize discriminatory use of the Service. Any discriminatory use is outside the scope of authorized access and constitutes a material breach of these Terms.

7. User Profiles, Listings, Content, and Communications

The Service may allow you to create a profile, answer questions, upload photos, provide a bio, describe housing needs, describe available rooms, message users, submit feedback, post content, join a waitlist, or otherwise provide text, images, responses, preferences, information, data, or materials (“User Content”).

You retain ownership of your User Content, subject to the license you grant below. You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate law, these Terms, third-party rights, privacy rights, intellectual property rights, contractual rights, housing laws, or community standards.

By submitting User Content, you grant RoomRight a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, transmit, modify, adapt, translate, analyze, process, create derivative works from, distribute, and otherwise use your User Content as reasonably necessary to operate, improve, secure, personalize, market, test, analyze, and provide the Service, subject to our Privacy Policy and applicable law.

You understand that other users may view, save, screenshot, copy, share, misinterpret, or misuse information you make available through the Service. RoomRight is not responsible for another user’s misuse of your User Content, except where required by law.

You may not submit User Content that is false, misleading, fraudulent, unlawful, discriminatory, harassing, abusive, defamatory, invasive of privacy, sexually exploitative, threatening, violent, hateful, obscene, spammy, commercial without authorization, infringing, deceptive, or otherwise harmful.

Editing and deleting messages

The Service allows you to edit a message for a limited period after sending it, and to delete a message for everyone within a limited period after sending it. These time limits are set by RoomRight and may change. Editing a message replaces what the recipient sees, and the recipient is shown that the message was edited. Deleting a message for everyone removes it from the conversation for both participants, and the recipient is shown that a message was deleted.

Editing or deleting a message changes what other users see. It does not withdraw the message from RoomRight's records. RoomRight retains a copy of the original message in a restricted archive that other users cannot access, so that conduct reported to us under Section 15 can still be reviewed after the fact. That copy remains end-to-end encrypted and is deleted when your account is deleted. You should not rely on editing or deletion to retract anything you would not have sent, and you remain responsible under these Terms for User Content you have sent, whether or not you later edit or delete it.

You may not use editing or deletion to conceal, obstruct, or interfere with a report, investigation, moderation decision, or legal process, or to mislead another user about what was previously sent.

7.1 Objectionable content and zero tolerance

By using the Service you agree that you will not submit, upload, post, send, display, or otherwise make available any objectionable content, and that there is no tolerance for objectionable content or abusive users on RoomRight.

Objectionable content includes content that is unlawful, discriminatory, harassing, threatening, abusive, defamatory, hateful, violent, sexually explicit or pornographic, sexually suggestive involving any person who appears to be a minor, exploitative, obscene, graphic, gratuitously offensive, invasive of another person's privacy, deceptive, fraudulent, spam, or that promotes self-harm, illegal drugs, weapons, or illegal activity. It also includes any photograph that is not of you, that depicts another identifiable person without their consent, or that is used to misrepresent your identity.

RoomRight operates a zero-tolerance policy for objectionable content and abusive users. Every user can report a profile or a conversation from within the app, and can block or unmatch another user at any time, which prevents further contact. RoomRight reviews reports and acts on them, ordinarily within twenty-four hours. Where we find a violation we may remove the content and eject the user who provided it, permanently and without notice or refund. Repeated or severe violations, and any content involving a minor, will result in immediate permanent removal and may be reported to law enforcement.

Profile photographs are automatically screened before they appear on your profile, and a photograph our screening rejects will not be published. Automated screening is not perfect, is not a substitute for reporting, and does not extend to private message content, which is end-to-end encrypted and cannot be read by RoomRight — see Section 15. If you encounter objectionable content or an abusive user, report it in the app or contact us at the address in Section 34.

7.2 Knocks, passes, and usage limits

You express interest in another user by sending a “knock.” A knock is disclosed to the user you send it to: it appears in their Matches inbox, and they may be notified of it. Once sent, a knock has already been delivered, and the Service does not offer a way to take it back. If that user knocks you in return, the two of you are matched and messaging opens between you.

You may also “pass” on a user, which removes them from your own browsing and is not disclosed to them. Passing is private by design: the other user is not told, and their view of the Service does not change. You can reverse a pass you have just made; you cannot reverse a knock.

RoomRight limits how many knocks you may send in a day. The limit is currently six per calendar day, measured in UTC, and resets at the start of the next UTC day. RoomRight may change, raise, lower, suspend, or apply limits differently between users, features, or periods, including for safety, anti-spam, capacity, or product reasons, and may do so without notice. Attempting to evade a limit — through multiple accounts, automation, or otherwise — is prohibited under Section 13.

8. No Verification Guarantee

RoomRight may offer identity checks, email verification, phone verification, school email verification, social login, profile badges, third-party verification tools, fraud signals, background-check integrations, reference prompts, or other trust and safety features. Unless expressly stated in writing, these features do not constitute a guarantee that a user is who they claim to be, is safe, has no criminal history, has legal rights to a property, has permission to sublet, has lawful immigration or employment status, has financial ability to pay rent, has a valid lease, or will comply with any agreement.

Verification tools may be limited, incomplete, inaccurate, delayed, unavailable, or dependent on third-party data. RoomRight is not responsible for errors, omissions, or failures in third-party verification services.

If RoomRight later offers background checks, credit checks, tenant screening, or similar services, those services will be governed by separate terms, disclosures, authorizations, and legal requirements. Unless and until such separate terms are provided, RoomRight does not provide background checks, credit reports, tenant screening reports, or consumer reports.

9. Safety and Offline Interactions

Roommate search can involve real-world risk. You are solely responsible for your safety and judgment when communicating with users, meeting users, viewing apartments, signing documents, paying money, sharing personal information, moving into a home, inviting someone into your home, or forming a roommate arrangement.

You agree to take reasonable precautions, including meeting in public first when appropriate, telling someone you trust where you are going, independently verifying addresses and identities, avoiding upfront payments outside secure and traceable channels, reviewing leases and subleases carefully, confirming landlord or leaseholder authority, inspecting the property, documenting agreements in writing, and seeking professional advice where needed.

RoomRight is not liable for user conduct, offline meetings, property conditions, roommate conflict, theft, fraud, assault, harassment, stalking, discrimination, misrepresentation, property damage, illegal sublets, unlawful deposits, lease violations, unpaid rent, eviction, or any harm arising from interactions between users or third parties.

If you believe there is an emergency or immediate danger, contact local emergency services first. RoomRight is not an emergency service and does not monitor communications in real time.

10. Payments, Deposits, Rent, and External Transactions

Unless RoomRight expressly provides an authorized payment feature, RoomRight does not process, hold, guarantee, insure, refund, escrow, supervise, or verify any payments between users, including rent, deposits, application fees, utilities, furniture payments, broker fees, sublet payments, reservation fees, or move-in payments.

You are solely responsible for verifying the legitimacy of any payment request and complying with applicable law. You should not send money to someone you have not adequately verified. RoomRight is not responsible for scams, failed payments, unauthorized charges between users, disputes over deposits, unpaid rent, utility disputes, damaged property, chargebacks, or payment arrangements outside the Service.

You may not use the Service to request unlawful deposits, illegal fees, fraudulent payments, off-platform scams, money laundering, advance-fee schemes, fake listings, bait-and-switch listings, or any other deceptive financial activity.

11. Paid Features, Subscriptions, Trials, and Refunds

RoomRight may offer free features, paid features, premium features, one-time purchases, subscriptions, early-access features, boosts, profile visibility tools, verification tools, messaging features, waitlist benefits, or other paid products. Prices, features, availability, renewal terms, billing cycles, and cancellation options may vary by platform, device, geography, promotion, or user segment.

When you purchase a paid feature, you agree to pay all applicable fees, taxes, and charges. Unless otherwise stated, paid features are for personal, non-transferable use and may not be resold, transferred, assigned, sublicensed, or shared.

If you purchase through the Apple App Store, Google Play, or another third-party app store or payment platform, your purchase, billing, renewal, cancellation, and refund rights may be governed by that third party’s terms in addition to these Terms. RoomRight may not be able to cancel, refund, or modify purchases made through a third-party platform except as permitted by that platform.

Subscriptions may automatically renew unless canceled before the renewal date through the applicable platform or account settings. You are responsible for canceling before renewal if you do not want to continue the subscription. Deleting the app, deleting your account, uninstalling the Service, or stopping use may not automatically cancel a subscription.

Except where required by law or expressly stated in a separate refund policy, fees are non-refundable, including for unused time, partial subscription periods, removed content, suspended accounts, terminated accounts, unused features, dissatisfaction with matches, lack of responses from users, compatibility outcomes, or decisions by other users.

RoomRight may change prices, features, trial availability, or subscription terms prospectively, subject to applicable law and required notice. If required by law, we will obtain consent before charging you under materially changed recurring billing terms.

12. App Store Terms

If you download or use the Service through the Apple App Store, Google Play, or another app distribution platform, you agree to comply with all applicable third-party platform terms. These Terms are between you and RoomRight, not Apple, Google, or any other app platform. Third-party platforms are not responsible for providing maintenance or support for the Service, except as required by applicable platform terms or law.

To the extent required by Apple’s terms, Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application and may enforce these Terms against you as third-party beneficiaries.

13. Prohibited Conduct

You may not, directly or indirectly:

  • use the Service for any unlawful, deceptive, harmful, discriminatory, harassing, abusive, exploitative, or fraudulent purpose;
  • impersonate another person, misrepresent your identity, age, affiliation, housing rights, lease authority, property ownership, employment, school affiliation, financial status, or intentions;
  • create fake profiles, fake listings, fake rooms, fake availability, fake verification, or misleading housing opportunities;
  • post, send, or promote discriminatory housing preferences or unlawful exclusions;
  • harass, stalk, threaten, intimidate, shame, dox, blackmail, extort, exploit, or abuse another user;
  • solicit sexual services, escort services, adult content, illegal substances, weapons, or other unlawful goods or services;
  • send spam, mass messages, scams, phishing links, malware, referral schemes, pyramid schemes, or unauthorized promotions;
  • scrape, crawl, copy, index, mine, harvest, download, train models on, or collect data from the Service without written permission;
  • use bots, automation, scripts, fake accounts, account farms, or unauthorized APIs;
  • reverse engineer, decompile, disassemble, probe, test, interfere with, or bypass the Service, security measures, rate limits, ranking logic, compatibility logic, or moderation systems;
  • sell, rent, license, sublicense, transfer, or commercially exploit access to the Service or user data;
  • use RoomRight to build, train, benchmark, or improve a competing product without written permission;
  • upload viruses, malware, harmful code, corrupted files, or content designed to disrupt the Service;
  • interfere with another user’s use of the Service;
  • evade bans, suspensions, blocks, verification, safety checks, or enforcement actions;
  • pressure users to move conversations off-platform for fraudulent, unsafe, or abusive purposes;
  • request or share sensitive personal information unnecessarily, including Social Security numbers, banking passwords, one-time passcodes, private IDs, or intimate images;
  • use the Service to make eligibility decisions about housing, credit, employment, insurance, or other legally regulated opportunities in a way that violates law;
  • violate any lease, sublease, building rule, occupancy restriction, landlord agreement, cooperative or condominium rule, or local housing law; or
  • assist, encourage, or enable any violation of these Terms.

14. User Disputes and Release

RoomRight is not a party to disputes between users or between users and landlords, tenants, subtenants, roommates, brokers, guarantors, property managers, building owners, payment providers, or other third parties.

You are solely responsible for resolving your disputes. RoomRight may, but is not obligated to, monitor, investigate, moderate, assist, provide information, restrict accounts, or take action in connection with disputes.

To the fullest extent permitted by law, you release RoomRight and its affiliates, officers, directors, employees, contractors, agents, investors, advisors, licensors, service providers, successors, and assigns from all claims, demands, damages, losses, liabilities, costs, and expenses arising out of or related to disputes with other users or third parties, including housing arrangements, roommate agreements, lease disputes, payment disputes, safety incidents, offline interactions, user content, fraud, harassment, discrimination, or property issues.

If you are a California resident, you waive California Civil Code Section 1542, which provides that a general release does not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known, would have materially affected their settlement with the released party. You waive any similar law or principle in any jurisdiction.

15. Moderation, Enforcement, and Platform Integrity

RoomRight may, but is not required to, review, screen, edit, refuse, remove, restrict, label, demote, block, suspend, terminate, or restore any account, profile, listing, message, content, feature, transaction, or access at any time and for any reason, including if we believe you violated these Terms, created risk, harmed another user, violated law, undermined trust, misused the Service, or acted inconsistently with the purpose of RoomRight.

RoomRight may use automated systems, human review, user reports, third-party tools, fraud signals, AI-assisted moderation, or other methods to support enforcement. Moderation is not perfect and does not create a duty to detect, prevent, or remove all harmful content or conduct.

Private messages are an exception, and you should understand the limit before relying on it. Message content sent through the Service is end-to-end encrypted, which means it is readable only by you and the person you are messaging. RoomRight cannot read it, cannot scan it automatically, and does not screen it for abuse, fraud, discrimination, or any other violation. Nothing in this section should be read as a representation that message content is monitored.

Where a conversation is reported to us, we may act on what the reporting user provides, on account-level and behavioural signals available to us, and on retained copies of edited or deleted messages as described in Section 7 and in the Privacy Policy. Because we cannot read message content on our own initiative, reporting is the primary way unsafe conduct in messages comes to our attention, and we encourage you to use it.

RoomRight may preserve and disclose information if we believe it is reasonably necessary to comply with law, enforce these Terms, respond to legal process, protect users, protect RoomRight, investigate fraud or safety issues, prevent harm, or cooperate with law enforcement or regulators.

We may suspend or terminate accounts without refund where permitted by law, including for fraud, safety concerns, harassment, discrimination, unlawful conduct, chargebacks, platform abuse, multiple accounts, or violation of these Terms.

16. Intellectual Property

The Service, including its software, interface, design, branding, name, logos, typography, visual style, questionnaires, prompts, compatibility logic, scoring methods, ranking methods, workflows, algorithms, databases, compilations, content, text, graphics, icons, images, product concepts, trade dress, and other materials, is owned by RoomRight or its licensors and is protected by intellectual property and other laws.

Except as expressly permitted, you may not copy, reproduce, modify, adapt, translate, distribute, sell, lease, sublicense, publicly display, publicly perform, reverse engineer, create derivative works from, scrape, extract, or exploit any part of the Service.

RoomRight grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, lawful, non-commercial roommate-search and housing-search purposes, subject to these Terms.

All rights not expressly granted are reserved by RoomRight.

17. Feedback

If you submit ideas, suggestions, comments, survey responses, bug reports, feature requests, interview feedback, product feedback, design feedback, naming suggestions, or other feedback, you grant RoomRight a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, modify, commercialize, publish, implement, and exploit that feedback without compensation, credit, restriction, or obligation to you.

18. Third-Party Services, Links, and Integrations

The Service may contain links to, integrations with, or content from third-party websites, services, identity providers, payment processors, analytics providers, mapping tools, communication tools, app stores, verification providers, background-check providers, legal document providers, insurance providers, or other third parties.

RoomRight does not control and is not responsible for third-party services. Your use of third-party services may be governed by separate terms and privacy policies. RoomRight does not endorse, guarantee, or assume responsibility for third-party content, availability, accuracy, security, legality, performance, fees, or practices.

19. Privacy and Communications

RoomRight’s collection, use, disclosure, and protection of personal information is described in our Privacy Policy. By using the Service, you acknowledge that RoomRight may process your information as described in the Privacy Policy and as permitted by law.

You consent to receive service-related communications from RoomRight, including account notices, safety notices, legal notices, product updates, security alerts, billing notices, and administrative messages. Where permitted by law and subject to your preferences, you may also receive promotional communications. You may opt out of promotional communications as provided in those messages, but you may still receive non-promotional service communications.

You agree that electronic communications, notices, disclosures, and agreements satisfy any legal requirement that such communications be in writing.

Text messages

If you provide a mobile number, you consent to receive text messages from RoomRight at that number for the purposes for which you provided it, including one-time passcodes used to sign you in and verify your identity, and account, security, and safety notices. These are transactional messages sent in response to your own action, and they are not marketing.

Message and data rates may apply. Message frequency varies with your use of the Service. Carriers are not liable for delayed or undelivered messages. You may reply STOP to any message to stop receiving them and HELP for assistance. Stopping text messages may prevent you from signing in by phone or completing verification, and you may need to use another sign-in method. You represent that the number you provide is yours or that you are authorised to receive messages at it, and you agree to update or remove it promptly if that stops being true, since messages intended for you would otherwise reach whoever holds the number next.

Where required by law, RoomRight will obtain separate consent before sending marketing messages by text, and consent to marketing messages is never a condition of using the Service.

20. Copyright Complaints

If you believe content on the Service infringes your copyright, you may send a notice to RoomRight’s designated copyright agent at [copyright email/address] with:

  • your physical or electronic signature;
  • identification of the copyrighted work claimed to be infringed;
  • identification of the allegedly infringing material and information reasonably sufficient to locate it;
  • your contact information;
  • a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, agent, or law; and
  • a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

RoomRight may remove allegedly infringing content and terminate repeat infringers where appropriate.

21. Service Availability and Changes

RoomRight may modify, suspend, discontinue, replace, limit, or remove any part of the Service at any time, including features, compatibility logic, rankings, questionnaires, prompts, pricing, subscriptions, messaging, verification tools, content, beta access, or geographic availability.

We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, available in any location, compatible with every device, or free of viruses or harmful components. We are not liable for downtime, data loss, delays, bugs, compatibility issues, ranking changes, message failures, notification failures, or discontinued features.

22. Disclaimers

To the fullest extent permitted by law, the Service is provided on an “as is,” “as available,” and “with all faults” basis. RoomRight disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, reliability, availability, safety, compatibility, and course of dealing.

RoomRight does not warrant or guarantee that:

  • the Service will meet your expectations or needs;
  • the Service will produce compatible roommates or housing outcomes;
  • any user is truthful, safe, suitable, lawful, financially reliable, clean, respectful, communicative, or compatible;
  • any room, apartment, lease, sublease, listing, landlord, property, or housing arrangement is real, available, lawful, safe, habitable, affordable, or suitable;
  • compatibility outputs, rankings, profile orderings, summaries, badges, or AI-assisted features are accurate, complete, unbiased, or reliable;
  • verification badges or trust features guarantee identity, safety, legality, background, financial capacity, or housing authority;
  • user content will be monitored, removed, or preserved;
  • the Service will prevent fraud, harassment, discrimination, conflict, scams, injury, loss, or harm; or
  • defects or errors will be corrected.

Some jurisdictions do not allow exclusion of certain warranties, so some disclaimers may not apply to you.

23. Limitation of Liability

To the fullest extent permitted by law, RoomRight and its affiliates, officers, directors, employees, contractors, agents, investors, advisors, licensors, service providers, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or reliance damages; lost profits; lost revenue; lost savings; lost data; loss of goodwill; emotional distress; personal injury; property damage; rent loss; deposit loss; relocation costs; lease disputes; roommate conflict; housing loss; fraud; scams; discrimination; harassment; offline interactions; or damages arising from or related to use of or inability to use the Service, even if RoomRight has been advised of the possibility of such damages.

To the fullest extent permitted by law, RoomRight’s total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of: (a) the amount you paid to RoomRight for the Service in the six months before the event giving rise to the claim; or (b) USD $100.

These limitations apply regardless of legal theory, including contract, tort, negligence, strict liability, warranty, statute, or otherwise. These limitations apply even if a limited remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

24. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless RoomRight and its affiliates, officers, directors, employees, contractors, agents, investors, advisors, licensors, service providers, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your access to or use of the Service;
  • your User Content;
  • your interactions, agreements, meetings, payments, leases, subleases, roommate arrangements, or disputes with users or third parties;
  • your violation of these Terms;
  • your violation of law, including fair housing, anti-discrimination, privacy, consumer protection, intellectual property, housing, rental, advertising, or payment laws;
  • your fraud, misrepresentation, harassment, discrimination, abuse, or unsafe conduct;
  • your violation of third-party rights;
  • your misuse of Compatibility Features, AI-assisted outputs, rankings, or profile information; or
  • your unauthorized use of RoomRight’s intellectual property, data, software, systems, or confidential information.

RoomRight reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

25. Arbitration Agreement, Class Action Waiver, and Jury Trial Waiver

Please read this section carefully. It affects your rights.

Except for claims that qualify for small claims court, claims for injunctive or equitable relief related to intellectual property or unauthorized access, and claims that cannot be arbitrated as a matter of law, you and RoomRight agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your use of the Service, paid features, communications, user content, RoomRight’s policies, or the relationship between you and RoomRight will be resolved by binding individual arbitration rather than in court.

Before initiating arbitration, the party asserting a claim must first send a written notice describing the dispute and requested relief to the other party. The parties will attempt in good faith to resolve the dispute informally for at least 30 days after notice is received. Notices to RoomRight must be sent to [legal notice email/address]. Notices to you may be sent to the email address associated with your account or by other legally permitted means.

If the dispute is not resolved informally, either party may initiate binding arbitration administered by [AAA/JAMS] under its applicable consumer arbitration rules, except as modified by these Terms. The arbitration will be conducted in English by a single neutral arbitrator. Unless otherwise required by law or agreed by the parties, arbitration will occur in [New York County, New York], by video conference, by telephone, or on written submissions, as determined by the arbitrator and applicable rules.

The arbitrator will have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement, except that any dispute about the class action waiver must be decided by a court of competent jurisdiction.

You and RoomRight agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, private attorney general, or mass action. The arbitrator may not consolidate claims or preside over any form of class, collective, consolidated, representative, private attorney general, or mass proceeding unless both parties agree in writing.

You and RoomRight waive the right to a jury trial for any dispute that is not subject to arbitration.

You may opt out of this arbitration agreement by sending written notice to [legal notice email] within 30 days after first accepting these Terms. Your opt-out notice must include your name, email address associated with your account, and a clear statement that you opt out of the RoomRight arbitration agreement. Opting out of arbitration will not affect any other part of these Terms.

If any portion of this arbitration section is found unenforceable, the unenforceable portion will be severed to the extent permitted by law, and the remaining provisions will remain in effect. If the class action waiver is found unenforceable with respect to a claim, that claim must proceed in court and not arbitration.

Batch arbitration

If twenty-five or more demands for arbitration of a substantially similar nature are filed against RoomRight by or with the assistance of the same law firm, group of firms, or coordinated persons within a ninety-day period, you and RoomRight agree that the demands shall be administered in batches of no more than fifty at a time. Each batch shall be treated as a single consolidated arbitration with one arbitrator, one set of filing fees, and one hearing, and the arbitrator may set a schedule for the batch. This provision is intended to reduce cost and delay for both sides and does not create a class, collective, or representative proceeding.

Nothing in this provision waives either party's right to an individual determination of its own claim. If a court or the administrator determines that this batching provision is unenforceable, it shall be severed and the remainder of this Section shall continue to apply.

Time limit for bringing a claim

To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed, whether in arbitration or in court, within one year after the claim arose. A claim not filed within that period is permanently barred. Some jurisdictions do not permit a contractual shortening of the limitations period, and in those jurisdictions this paragraph does not apply to you.

26. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of [New York/Delaware], without regard to conflict-of-law principles, except to the extent federal law applies or applicable consumer protection law requires otherwise.

For disputes not subject to arbitration, you and RoomRight consent to the exclusive jurisdiction and venue of the state and federal courts located in [New York County, New York], except where applicable law requires otherwise.

27. Termination

You may stop using the Service at any time. You may request account deletion through available account tools or by contacting RoomRight, subject to identity verification, legal retention obligations, dispute needs, fraud prevention, safety needs, backups, and applicable law.

You should understand what deleting your account does and does not remove. Your profile, questionnaire answers, photos, and the personal information associated with your account are removed. Messages you have already sent to another user are not removed from that user's copy of the conversation. A one-to-one conversation is a record of an exchange between two people, and one party leaving is not the other party's consent to destroy their own history. Your identifiers are replaced with a placeholder that carries no personal data, so the other person's thread remains intact and readable to them without identifying you.

Unmatching or blocking another user hides the conversation from both parties, and copies of edited or deleted messages retained under Section 7 are kept as described there. RoomRight may also retain information for the periods and purposes described in the Privacy Policy, including to comply with law, resolve disputes, investigate reports, prevent fraud and abuse, and maintain security and backups.

RoomRight may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe you violated these Terms, created risk, misused the Service, harmed users, violated law, generated chargebacks, created fake accounts, engaged in discrimination or harassment, undermined platform integrity, or for any other reason permitted by law.

Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, user content licenses, disclaimers, limitation of liability, indemnity, dispute resolution, governing law, releases, and miscellaneous terms.

28. Changes to These Terms

RoomRight may update these Terms from time to time. If we make material changes, we may provide notice through the Service, email, app notification, website notice, or other reasonable method. The updated Terms will be effective when posted or as otherwise stated.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Service.

29. Force Majeure

RoomRight will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disaster, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labour dispute, embargo, sanctions, government action, change in law, court order, power or telecommunications failure, internet or network disruption, cyberattack, denial-of-service attack, data breach caused by a third party, or the failure, suspension, modification, price change, or discontinuation of any third-party service the Service depends on, including hosting, database, authentication, storage, payment, notification, mapping, analytics, or artificial intelligence providers, or any app store or mobile platform.

If such an event continues for a prolonged period, RoomRight may suspend or terminate affected parts of the Service without liability. This Section does not excuse your obligation to pay amounts already due.

30. Assignment

You may not assign or transfer these Terms or your rights or obligations without RoomRight’s prior written consent. RoomRight may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, operation of law, or change of control.

31. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

32. No Waiver

RoomRight’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. Any waiver must be in writing and signed by RoomRight.

33. Entire Agreement

These Terms, together with the Privacy Policy and any incorporated policies or supplemental terms, constitute the entire agreement between you and RoomRight regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and communications regarding the Service.

Supplemental Community and Safety Rules

These Supplemental Community and Safety Rules are incorporated into the Terms.

A. Be Accurate

Do not misrepresent who you are, what you want, what room is available, what lease rights you have, what rent or deposit is required, whether a landlord has approved the arrangement, whether pets are allowed, whether smoking is allowed, whether utilities are included, whether the room is private, whether the unit is furnished, or whether the listing is currently available.

B. Do Not Discriminate

Do not use RoomRight to express unlawful housing preferences, exclude protected groups, harass people based on protected characteristics, or pressure others to disclose sensitive information unrelated to lawful roommate compatibility.

C. Keep It Roommate-Relevant

RoomRight is for roommate discovery, room search, compatibility, and related housing communications. Do not use RoomRight for dating, sexual solicitation, recruiting, spam, sales, influencer marketing, unrelated networking, illegal activity, or harassment.

D. Protect Safety

Do not threaten, stalk, intimidate, exploit, dox, blackmail, shame, coerce, sexually harass, or physically harm anyone. Do not pressure users to meet privately, share sensitive documents, send money, or move conversations off-platform before they are comfortable.

E. Avoid Scams and Illegal Payments

Do not request deposits, rent, fees, or advance payments for rooms you do not control. Do not create fake listings, duplicate listings, bait-and-switch listings, or misleading availability. Do not request payment by suspicious, irreversible, or untraceable methods for fraudulent purposes.

F. Respect Privacy

Do not post another person’s private information without consent. Do not share screenshots, messages, phone numbers, addresses, IDs, lease documents, school emails, or other personal information outside the Service without authorization, except where necessary for safety, legal rights, or law enforcement.

G. Respect the Product

Do not scrape RoomRight, copy its questionnaires, clone its user flows, reverse engineer its compatibility logic, misuse its data, bypass its safety systems, or use the platform to build a competing service.

RoomRight may enforce these rules in its discretion, including by warning, restricting, removing, suspending, banning, reporting, or taking legal action where appropriate.
